Company Secretary

We are seeking a qualified Company Secretary professional to manage the legal, secretarial, and regulatory compliance functions of our Section 8 Company. The role will support strong governance practices, ensure statutory and regulatory compliance, and work closely with senior management.

Experience: 1–2 years (NGOs / Section 8 / Trusts / Development Sector preferred)

Key Responsibilities: 

  • Ensure compliance with the Companies Act, 2013.
  • Manage Board, Committee, and General Meetings, including notices, agendas, minutes, and follow-up actions.
  • Handle ROC filings, annual returns, and event-based compliances.
  • Maintain statutory registers, records, and corporate documentation.
  • Support compliance related to FCRA, CSR, donor reporting, and other applicable regulations.
  • Coordinate with auditors, legal advisors, consultants, and regulators.
  • Assist in drafting and reviewing MOUs, agreements, policies, resolutions, and governance documents
  • Support secretarial audits, internal compliance reviews, and statutory audits.
  • Track regulatory changes impacting the federation and ensure timely implementation.
  • Strengthen corporate governance and transparency practices.
 
Required Qualifications & Experience: 
  • Qualified Company Secretary
  •  1-2 years of experience with NGOs, Section 8 companies, trusts, societies, or development sector organizations.
  •  Knowledge of regulatory frameworks applicable to non-profit organizations is an advantage.
  • Strong drafting and documentation skills
  • Excellent coordination and communication skills
  • High level of integrity, attention to detail, and compliance orientation.
  • Ability to manage multiple stakeholders and deadlines
